Terms of Access — NEXTGEN ADVISORS LLC Client Cases
These Terms of Access ("Terms") govern your access to the Client Case demonstration sites linked from nextgenadvisors.llc (each, a "Case Site"). By checking the acknowledgment box and submitting your request, you ("Requestor") agree to be bound by these Terms.
1. Confidential Materials
"Confidential Materials" means everything you encounter through any Case Site, including without limitation interfaces, dashboards, screens, methodologies, models, data, designs, source code, configurations, branding, narratives, screenshots, recordings, and any information identifying the underlying customer engagement. Confidential Materials are the proprietary information of NEXTGEN ADVISORS LLC ("NEXTGEN") and/or its clients.
2. Purpose
Access is granted solely so Requestor can evaluate NEXTGEN's capabilities for a potential engagement with NEXTGEN. Requestor will not use Confidential Materials for any other purpose.
3. Confidentiality
Requestor will hold Confidential Materials in strict confidence, will not disclose them to any third party, and will protect them with at least the same degree of care it uses for its own confidential information of similar sensitivity (and no less than a reasonable standard of care).
4. No reproduction or redistribution
Requestor will not copy, screenshot, screen-record, transcribe, mirror, scrape, or otherwise reproduce or redistribute any Confidential Materials, in whole or in part, except as expressly authorized by NEXTGEN in writing.
5. No sharing of credentials
Access passwords are issued individually. Requestor will not share access credentials with any other person and will promptly notify NEXTGEN at letschat@nextgenadvisors.llc if credentials are exposed.
6. No reverse engineering or competitive use
Requestor will not attempt to derive methods, models, source code, or data from a Case Site, nor use anything observed to develop, market, or sell a product or service that competes with NEXTGEN's offerings.
7. Reservation of rights
All right, title, and interest in and to NEXTGEN's offerings and Confidential Materials remain with NEXTGEN and its clients. No license, implied or otherwise, is granted beyond the limited evaluation access described in these Terms.
8. Term
Requestor's obligations of confidentiality survive for three (3) years after access ends, except as to trade secrets, which remain protected for as long as they qualify as such under applicable law.
9. Revocation
NEXTGEN may revoke access at any time, with or without notice, and Requestor will cease use immediately upon revocation.
10. No warranties
Case Sites are provided "as is" for evaluation. NEXTGEN disclaims all warranties to the maximum extent permitted by law.
11. Authority
By accepting these Terms, Requestor represents that they are authorized to bind themselves and any organization on whose behalf they are accessing the Case Sites.
12. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Virginia.
13. Entire agreement; severability
These Terms are the entire agreement regarding access to Case Sites. If any provision is held unenforceable, the remaining provisions remain in effect. These Terms do not replace any separately signed nondisclosure or master services agreement between Requestor's organization and NEXTGEN; in case of conflict, that signed agreement controls.
